The registration path

Seven steps, in this order, because each one needs the last.

This is the mainland route, and the days below are typical rather than promised — every step belongs to an authority that decides its own timing. A free zone entity replaces steps two and three with the zone authority’s own approval, and we say which at the consultation.

  1. Name reservation

    Three candidate trade names filed with the Ministry of Commerce, Industry and Investment Promotion, in Arabic and English. Rejections are common and cheap to avoid — the rules on descriptive words, and on names implying a government connection, catch most first attempts.

  2. Activity classification

    Your activity mapped to the ISIC4 codes Oman registers against. This is the step that decides whether 100% foreign ownership applies to you, and whether any sector approval is needed.

  3. Constitutive contract

    The company’s founding document — shareholders, shares, management, signing authority — drafted in Arabic and signed by all shareholders or their attorney.

  4. Registration through Invest Easy

    Filed on the government’s own portal, which issues the commercial registration (CR) number. That number is the company.

  5. Chamber of Commerce membership

    Oman Chamber of Commerce and Industry membership at the grade your activity and capital require. Without it the CR cannot be used for most transactions.

  6. Tax card and bank account

    Tax registration with the Tax Authority, then the corporate account. Banks run their own compliance and decide their own cases, which makes this the step with the least predictable timeline — we prepare the pack that shortens it.

  7. Investor visa and labour file

    The investor residence card for shareholders, and the labour clearances if you intend to employ. Both sit on top of a live CR, which is why they come last.

The other real decision

Mainland or free zone.

Not a matter of price. It is a question of who your customers are, and getting it wrong is expensive to undo.

Mainland, registered with the ministry

  • Sell to anyone in Oman — government tenders included, which free zone entities generally cannot bid for directly.
  • No customs boundary — between you and the domestic market.
  • Corporate tax applies — at the standard rate from the first year.
  • Omanisation quotas — apply once you employ, and vary by sector.

Free zone or SEZ

  • Sohar, Salalah, Al Mazunah, Duqm — each with its own sectors, incentives and authority.
  • Tax holidays — and customs exemptions, on terms set by the zone rather than nationally.
  • Selling into the Omani mainland — normally means a local distributor, or paying duty.
  • Best for — re-export, manufacturing and logistics — anything where the port is the point.

Can I really own 100% of an Omani company?

For most activities, yes. The Foreign Capital Investment Law opened the great majority of commercial activities to full foreign ownership and removed the old requirement for an Omani partner. There is a restricted list of activities where it does not apply, and a handful of sectors carry their own approvals. Which side of that line your activity sits on is settled at step two, and it is the first thing we check.

How much share capital do I have to put in?

For most activities there is no statutory minimum to register an LLC or an SPC. Certain sectors set their own capital requirements, and a bank or a tender may expect to see more than the legal floor. We confirm the figure for your activity before you commit to anything.

Do I need to be in Oman to do this?

Not for the whole process. Much of the filing is done on the Invest Easy portal, and a properly drafted power of attorney lets us sign and file on your behalf. Opening the bank account is the step most likely to require you in person, because each bank sets its own policy on that.

What does it cost?

Two separate numbers, and we keep them separate. Government and authority charges are set by the ministry, the chamber and — for a free zone — the zone authority, and are paid to them. Our fee is for the consultancy and document preparation described above. You get both, itemised, in writing before any work begins. We do not publish a figure here because the activity, the structure and the chamber grade all move it.

How long does it take?

With complete documents in hand and no sector approval required, five to ten working days to the CR number is typical for an LLC or an SPC. A branch takes longer, because the parent company’s documents must be attested and legalised first. The bank account and the investor visa sit after the CR and run on their own timelines. These are typical durations from our own files, not commitments — each authority decides its own timing.

Can you guarantee the registration?

No, and no consultant honestly can. Commercial registrations, licences and visas are issued solely by the relevant Omani authorities, which decide every application on its own merits. What we can do is prepare the file so it is decided on its merits rather than returned on a formality, and answer a rejection rather than start again from the beginning.
